By accessing our website, using our services, or engaging with our recruitment consultants, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

User Obligations

When using our services, you agree to:

Client Responsibilities

If you are engaging Valtirak as a client organization, you additionally agree to:

• Honor fee agreements and payment terms
• Provide timely feedback on candidates
• Respect placement guarantees and terms
• Not directly approach candidates for other roles without prior agreement

Candidate Responsibilities

If you are using our services as a job candidate, you agree to:

• Provide accurate and current CV/resume information
• Disclose any potential conflicts of interest
• Inform us of other active recruitment processes
• Be available for interviews and communications as reasonably required
• Notify us immediately of any change in availability or circumstances
• Not misrepresent your qualifications, experience, or availability

Fees and Payment Terms

Our fees are based on the specific services provided and will be detailed in separate service agreements. Standard terms include:

• Fees are typically calculated as a percentage of the placed candidate's first-year salary
• Payment terms are generally 30 days from invoice date
• Placement guarantees may apply as specified in service agreements
• Refund policies vary by service type and will be clearly outlined
• Additional costs such as advertising or assessment fees may apply

Intellectual Property

All content on our website and in our materials, including but not limited to text, graphics, logos, images, software, and design, is the property of Valtirak or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Any feedback, suggestions, or ideas you provide to us may be used by Valtirak without restriction or compensation.

Confidentiality and Data Protection

Limitation of Liability

To the maximum extent permitted by law, Valtirak shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our services. Our total liability for any claims arising from our services shall not exceed the fees paid to Valtirak for the specific service giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee:

• Successful placement of candidates or filling of positions
• The accuracy or completeness of information provided by third parties
• Uninterrupted or error-free service
• The suitability of any particular candidate for employment

Indemnification

You agree to indemnify, defend, and hold harmless Valtirak and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or relating to your breach of these Terms, your use of our services, or your violation of any law or third-party rights.

Termination

Either party may terminate the use of our services at any time with or without cause. We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms or engage in conduct that we determine to be inappropriate or harmful. Upon termination:

• Your right to use our services will cease immediately
• Outstanding fees and obligations will remain due and payable
• Confidentiality obligations will survive termination

Force Majeure

Valtirak shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain. If you are a consumer, you may also have rights under your local consumer protection laws.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
